4th June, 2012 Kail, Project Manager Capital works, Extreme Engineering To Whom It May Concern: This letter confirms our mutual intent with respect to the potential contract described below, being between Black Suit Infrastructure (hereafter “The Client”) and Extreme Engineering (hereafter “The Contractor”). This document does not represent a legally binding contract. 1. of contract: The of the proposed contract are as follows: (a) Design. Contractor will provide a design for construction of a bridge and all ing structures, per client’s specifications document. Design shall cover engineering analysis, and the appropriate safety and environmental processes. The design shall adhere to all applicable Australian and International standards for same. (b) Construction. Contractor will act as a consultant for the construction process, acting as project management. The Client shall source and engage appropriate contractors to perform the construction, with specific details to be refined upon the Client’s acceptance of this proposal. (c) Deliverables. The Contractor shall deliver to the Client the following items: i.

A full design report;

ii.

A scale model of the bridge design;

iii.

Construction drawings for the bridge design.

6. Miscellaneous. This letter constitutes the entire understanding and agreement between the Client and Contractor with respect to its content, hereby invalidating any extant agreements regarding said content. No agreement, other than as expressly stated above has been made to or by the parties hereto. This letter may be amended only by written agreement, signed by the parties to be bound by the amendment. 7. No Binding Obligation. THIS IS IN NO MANNER LEGALLY BINDING OR AN ENFORCEABLE OBLIGATION ON THE PART OF EITHER THE CONTRACTOR OR THE CLIENT.
